Anodi Terms of Use

Welcome to use the Anodi Cross-border Wholesale Platform (hereinafter referred to as "this platform")! To safeguard your legitimate rights and interests on this platform, standardize the usage behavior of the platform, and clarify the rights and obligations of both parties, please carefully read and understand the following terms of use (hereinafter referred to as "these terms") before using the services of this platform. Once you use the services of this platform, it is deemed that you have fully read, understood and agreed to accept all the contents of these terms.

I. Definitions and Interpretations

This platform: refers to the online platform operated by Anodi, which provides users with cross-border commodity wholesale transactions and related services, including but not limited to web pages, mobile applications and related mini-programs.

User: Refers to a natural person, legal person or other organization that registers, logs in and uses the services of this platform.

Platform Rules: Refer to all kinds of rules, policies, notices, announcements, etc. that this platform may issue from time to time, including but not limited to these Terms of use, privacy policy, transaction rules, and product Posting norms.

Ii. User Qualifications

You undertake and guarantee that you have full capacity for civil conduct or have obtained the corresponding authorization, are capable of independently bearing legal responsibility, and have the qualifications and ability to use the services of this platform and fulfill the obligations under this article.

If you use the services of this platform on behalf of a legal person or other organization, you commit to having obtained full authorization to sign these terms with us and use the relevant services on behalf of such entity. Such entity will be bound by these terms and bear the corresponding legal responsibilities.

The services of this platform are not provided to minors. If we discover that you are a minor, we reserve the right to immediately terminate the services provided to you, cancel your account, and at the same time reserve the right to pursue legal responsibility against you or your guardian.

Iii. Registration and Account Management

If you find any abnormal login or usage of your account, please notify us immediately and take corresponding measures as required by us.

You must not use the account on this platform to engage in any illegal or non-compliant activities, or conduct any behavior that violates public order and good customs, harms the legitimate rights and interests of others, or interferes with the normal operation of this platform. If you violate the relevant regulations, we reserve the right to immediately suspend or terminate the use of your account without notice and to pursue your legal responsibility.

You have the right to apply for account cancellation, but before doing so, you must ensure that there are no unfinished transactions, disputes, outstanding debts, etc. in your account. After your account is cancelled, you will no longer be able to log in to this platform using this account, and all information related to this account will be processed in accordance with our privacy policy.

Iv. Platform Service Contents and Usage Norms

Service content: This platform provides users with services such as cross-border commodity wholesale transaction information display, transaction matching, order management, payment settlement, logistics tracking, as well as related technical support and customer service. We reserve the right to adjust, add or terminate certain service contents as needed for business development and notify you through announcements on this platform and other means.

Usage Specification

You should abide by laws and regulations, these terms and the platform rules, and use the services of this platform legally. You must not engage in any illegal or criminal activities through this platform, including but not limited to smuggling, money laundering, infringement of intellectual property rights, sale of counterfeit and shoddy goods, and Posting false information, etc.

You must not interfere with or disrupt the normal operation of this platform, nor carry out any behavior that endangers network security, such as attacking or intruding into the servers or systems of this platform, interfering with the data transmission of this platform, or maliciously occupying network resources, etc.

Without our written consent, you are not allowed to copy, modify, reverse compile or reverse engineer any content or program of this platform at will, nor to obtain data by bypassing the technical protection measures of this platform through any technical means.

The product information, transaction information, evaluation information and other content you post on this platform should be true, accurate and legal. It must not contain false, misleading or infringing upon the legitimate rights and interests of others. You shall bear full legal responsibility for all the content you post on this platform.

V. Commodities and Transactions

Product information: The product information displayed on the platform is provided by the sellers. We only serve as a platform for displaying and matching transaction information and do not assume any guarantee responsibility for the authenticity, quality, performance, or legality of the products. Before purchasing a product, you should carefully review the product details, the seller's description, user reviews and other information, and communicate fully with the seller to confirm. If a transaction dispute arises due to false product information, you can file a complaint or apply for after-sales handling in accordance with the platform rules.

Transaction process: When you place an order to purchase goods on this platform, you should follow the transaction process stipulated by the platform. Once an order is submitted, it is deemed that you have made a purchase offer to the seller. After the seller confirms the order, the transaction contract is established. You should pay the purchase price in a timely manner as agreed. The seller should deliver the goods at the agreed time, place and in the agreed manner.

Payment and Settlement: You can choose the payment method supported by this platform to complete the transaction payment. During the payment process, you should ensure that the payment information is true, accurate and valid, and abide by the regulations and agreements of the relevant payment institutions. After the payment is successful, we will settle the funds based on the transaction situation. In the event of refunds, returns or other situations, they will be handled in accordance with the platform rules and relevant laws and regulations.

Logistics and Delivery: The seller should arrange the logistics and distribution of the goods as agreed and provide you with information such as the logistics tracking number so that you can track the logistics progress. The delivery is deemed completed upon the goods are delivered to the delivery address you specified and signed for by you or the consignee you designated. If any problems such as damage or loss of the goods occur during the logistics process, you should contact the seller and the logistics provider in a timely manner to negotiate a solution. We will provide necessary assistance.

Vi. Intellectual Property Rights

All contents on this platform, including but not limited to text, images, charts, audio, video, software, trademarks, logos, etc., are owned by us or the relevant rights holders for their intellectual property rights. Without the written permission of us or the relevant rights holders, you are not allowed to use, copy, modify, distribute, display, sell or exploit any content on this platform. If the negotiation fails, you can resolve it through legal means. We will not bear any responsibility. If your violation of these terms or platform rules causes us or a third party to suffer losses, you shall bear full liability for compensation, including but not limited to direct losses, indirect losses, litigation costs, legal fees, etc.

Viii. Amendment and Termination of the Terms

We reserve the right to modify these terms in a timely manner in accordance with changes in laws and regulations, business development needs or operational management requirements. The revised terms will be published in a prominent position on this platform and you will be notified through announcements, in-site messages, and other means. If you continue to use the services of this platform after the revised terms are published, it will be deemed that you have accepted the revised terms. If you do not agree with the revised terms, you should immediately stop using the services of this platform.

Under the following circumstances, we reserve the right to immediately terminate the provision of services to you, suspend or cancel your account without notice:

Your actions have infringed upon the legitimate rights and interests of us, other users or third parties.

There are abnormal transactions or security risks in your account.

Due to force majeure or other unforeseeable and unavoidable reasons, we are unable to continue providing services.

After the service is terminated or the account is cancelled, we will handle your personal information in accordance with the provisions of the privacy policy. At the same time, any unfinished transactions, unsettled funds, etc. of yours on this platform will be handled in accordance with the platform rules.

Ix. Application of Law and Dispute Resolution

The signing, performance, interpretation and dispute resolution of this clause shall be governed by the laws of the People's Republic of China (excluding the laws of Hong Kong, Macao and Taiwan regions).

If any dispute arises between you and us during the performance of this clause, it shall first be resolved through friendly consultation. If the negotiation fails, either party has the right to file a lawsuit with the people's court having jurisdiction in our location.

X. Other Terms

This clause constitutes the entire agreement between you and us regarding the use of the services of this platform and supersedes all previous oral or written agreements regarding the services of this platform.

The determination of some provisions of this clause as invalid or unenforceable shall not affect the validity of the other provisions. We will adjust or supplement invalid or unenforceable terms in accordance with relevant laws and regulations to ensure the balance of rights and obligations between both parties.

Our failure to exercise or delay in exercising any right under this clause shall not be regarded as a waiver of such right. We grant any grace or delay for any of your breaches of contract, which shall not be regarded as tacit consent to your subsequent breaches of contract. We still have the right to hold you liable for the breach of contract.
